Job Description
Candidate will advise and provide legal support to the Global Procurement, Energy, and Trading business units
Main Responsibilities
- Draft and review corporate resolutions. Coordinate with local firms providing registered agent services in the U.S. and Caribbean regions to maintain updated corporate records of the foreign companies in which Cemex owns equity interests.
- Draft and review, in coordination with the Global Procurement business unit, non-disclosure agreements, as well as master services agreements for on-site and off-site services, purchase and sale agreements for capital equipment, supply agreements for maintenance, repair and operations (MRO) goods, and other agreements required for business continuity of Cemex’s operations across different regions.
- Draft and review, in coordination with the Global Trading business unit, purchase and sale agreements for cementitious and non-cementitious products (e.g., cement, clinker, aggregates, slag, etc.), as well as maritime freight agreements (e.g., voyage charterparties, contracts of affreightment, etc.) required by Cemex’s operations across different regions, as well as third-party customers.
- Assist and provide legal advice to the Global Procurement, Trading, and Shipping teams in resolving contractual disputes.
- Draft and review energy offtake agreements (e.g., virtual PPAs, traditional/physical delivery PPAs, and BESS offtake agreements) required for Cemex’s operations in Mexico.
- Support Cemex’s Global Power Strategy department, as well as regional procurement and legal teams in the negotiation and review of energy offtake agreements (e.g., virtual PPAs, traditional/physical delivery PPAs, and BESS offtake agreements) for electricity requirements of Cemex’s operating assets in Europe, South America and the Caribbean
Position Challenges
- Position involves providing timely and commercially focused legal advice to Cemex’s Global Power Strategy, Global Procurement, and Trading business units. This position requires strong organizational skills and the ability to balance competing demands under time pressure effectively. The candidate is also expected to coordinate effectively with fellow local counsels in other countries to review a select group of contracts involving energy offtake and multi-country supply of goods and/or services.
Qualifications
The candidate should have:
- A Bachelor of Laws degree from a Mexican law school (LLM or similar graduate degree from a foreign law school is a plus);
- A minimum of 5 years of experience at a law firm and/or in-house role; familiarity with international transactions involving cross-border purchases and sales of various goods, commodities, and services required by supply chain/procurement divisions of companies;
- Experience with negotiations of energy offtake agreements is a plus;
- Good negotiating and drafting skills;
- Proficiency in English and legal English terminology;
- Proficiency in MSOffice applications;
- Good presentation skills, ability to effectively communicate and explain facts and recommendations
